2.3 Respectful Behaviour: You agree to engage with our platform and any related services in a respectful and constructive manner, avoiding abusive, harmful, or discriminatory language or actions.

2.4 Non-Transferable: You may not transfer, sell, or sublicense any rights or licenses associated with our Services to any third party without our written consent.

3. Intellectual Property

3.1 Ownership: All intellectual property related to our Services, including but not limited to designs, content, methodologies, strategies, trademarks, and logos, is owned by Shift Cognition or its licensors.

3.2 License Grant: We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal purposes as long as you comply with these Terms.

3.3 Prohibited Uses: You may not modify, distribute, reproduce, or reverse engineer any part of our Services without prior written permission.

5.2 Billing: By using paid Services, you authorise us to charge your designated payment method for applicable fees. All payments are non-refundable except where required by law or as outlined in our Refund Policy.

5.3 Subscription: If you subscribe to a recurring service, you authorise us to continue billing your payment method until you cancel the subscription according to the terms provided.

6. Prices

We strive to ensure that prices and descriptions are accurate, but we do not guarantee they are free from error. Prices may change at any time without notice. Unless otherwise indicated, prices include VAT. The price charged will be as quoted when we accept your order. Users will be notified of any price changes before they are applied to new transactions.

7. Training

7.1 Equipment and Software Requirements: Customers must ensure that the appropriate equipment and software are installed and functioning properly for training sessions. Failure to do so may result in an inability to conduct the training, and the full cost may still be invoiced.
7.2 Cancellation and No-Show Policy: If training is cancelled with less than 48 hours' notice, or if you fail to attend, the full cost of the session will be charged. This policy may affect future training sessions. Cancellations can be made by contacting our support team via the platform.
7.3 Expiry of Training Hours: Any training hours that are not taken or booked within six months from the date payment is received will be forfeited and are non-refundable.

8. Limitation of Liability

8.1 No Warranty: Our Services are provided "as is," without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Liability: To the fullest extent permitted by law, Shift Cognition will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.

8.3 Indemnity: You agree to indemnify and hold harmless Shift Cognition, its affiliates, employees, and contractors from any third-party claims, damages, liabilities, or expenses arising from your use of the Services or your breach of these Terms.

9. Termination

9.1 Termination by You: You may terminate your use of our Services at any time by contacting us or following the procedures outlined in your account settings.

9.2 Termination by Us: We may suspend or terminate your access to our Services for reasons such as violation of these Terms or other misconduct. We may also suspend or terminate access for any other reason at our discretion.

9.3 Effect of Termination: Upon termination, your rights to use our Services will immediately end. Any provisions of these Terms that by their nature should survive termination will remain in effect.
